Terms of Service

The service

Spinveri picks winners for Instagram giveaways using a cryptographic commit-reveal scheme. You connect an Instagram Business or Creator Account you own, select a post hosting a giveaway, configure entry rules, and Spinveri runs a verifiable random selection from the comments on that post. Each draw produces a public audit page that allows anyone to independently verify the selection was fair.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction). By creating an account, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

To use the Service, you must have an Instagram Business or Creator account that you own and are authorized to manage. Personal Instagram accounts cannot be connected. Spinveri is not directed to children under 13. The service is not available where prohibited by law.

Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at support@spinveri.com if you believe your account has been compromised. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms or applicable law.

Acceptable use

You agree not to:

• Use the Service to run giveaways that violate Meta's Promotions Guidelines, the Instagram Terms of Use, applicable sweepstakes or consumer-protection law, or any other platform's rules
• Connect or attempt to access any Instagram or Facebook account that you do not own and are not authorized to manage
• Reverse-engineer, decompile, or attempt to derive source code from the Service, except to the extent expressly permitted by law
• Use the Service to scrape, harvest, or collect data from Meta's platforms outside the explicit user-initiated flows the Service provides
• Use the Service to harass, threaten, defame, or defraud any person, or to publish unlawful, hateful, or deceptive content
• Interfere with the Service or attempt to circumvent rate limits or authentication mechanisms

Host responsibilities

Spinveri is a tool, not the promoter of your giveaway. As the host, you are responsible for:

• Posting official giveaway rules and making them publicly available
• Complying with all applicable sweepstakes, contest, and consumer-protection laws in your jurisdiction and your entrants' jurisdictions
• Following Meta's Promotions Guidelines, including releasing Meta and Instagram from liability and stating that the promotion is not sponsored by, endorsed by, or associated with Instagram or Meta
• Disclosing to entrants that the winner's username and comment will appear on a public verification page, and that anyone can check there whether a username entered, for 90 days
• Performing any manual verification steps your rules promise (e.g., follow checks), as Spinveri can only verify data Instagram's Graph API exposes (comments and basic account info)
• Delivering prizes in accordance with your rules and applicable law

If your giveaway targets entrants under 18, you are solely responsible for obtaining required parental consent under COPPA and similar laws. Spinveri does not provide parental consent mechanisms.

Your content; license

You retain ownership of the content you submit to the Service, including the Instagram posts you select and the giveaway rules you configure (“Your Content”). You grant Spinveri a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit Your Content solely as needed to operate the Service for you — for example, to fetch comments on the post you selected and to publish the audit page for a draw you executed. You represent that you have all rights necessary to grant this license.

Intellectual property

Spinveri, including its software, design, branding, and content (other than Your Content), is owned by Lumen Limitless LLC and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You agree not to copy, modify, or distribute Spinveri's intellectual property without permission.

Termination

You may stop using the Service at any time. Deleting your account via Settings or by emailing privacy@spinveri.com terminates these Terms with respect to you. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if continued provision would expose Spinveri to material risk.

Disclaimer of warranties

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Spinveri does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defect will be corrected.

Limitation of liability

To the maximum extent permitted by law, Spinveri and its members, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. In no event will Spinveri's aggregate liability exceed the greater of (a) the amount you paid Spinveri in the 12 months preceding the event giving rise to the claim and (b) US$100.

Indemnification

You agree to indemnify and hold harmless Lumen Limitless LLC and its affiliates from any claim, demand, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or applicable law, (b) Your Content, or (c) a giveaway you ran through the Service, including claims from entrants or regulatory authorities.

Governing law & venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
