Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Lumen Limitless LLC, a New York limited liability company ("Spinveri," "we," "us"), governing your use of the Spinveri website at spinveri.com and the Spinveri service (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. The Service

Spinveri picks winners for Instagram giveaways using a cryptographic commit-reveal scheme. You connect an Instagram Business Account you own, select a post hosting a giveaway, configure entry rules, and Spinveri runs a verifiable random selection from the comments on that post. Each draw produces a public audit page that allows anyone to independently verify the selection was fair.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. To use the core feature of the Service, you must have an Instagram Business or Creator account that is linked to a Facebook Page that you own and are authorized to manage. The Service is not available where prohibited by law.

3. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at support@spinveri.com if you believe your account has been compromised. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms or applicable law.

4. Acceptable use

You agree not to:

• Use the Service to run giveaways that violate Meta's Promotions Guidelines, the Instagram Terms of Use, applicable sweepstakes or consumer-protection law, or any platform's rules
• Connect or attempt to access any Instagram or Facebook account that you do not own and are not authorized to manage
• Reverse-engineer, decompile, or otherwise attempt to derive source code from the Service, except to the extent expressly permitted by law
• Use the Service to scrape, harvest, or collect data from Meta's platforms outside the explicit user-initiated flows the Service provides
• Use the Service to harass, threaten, defame, or defraud any person, or to publish unlawful, hateful, or deceptive content
• Interfere with the Service or attempt to circumvent rate limits or authentication mechanisms

5. Your content; license

You retain ownership of the content you submit to the Service, including the Instagram posts you select and the giveaway rules you configure ("Your Content"). You grant Spinveri a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit Your Content solely as needed to operate the Service for you — for example, to fetch comments on the post you selected and to publish the audit page for a draw you executed. You represent that you have all rights necessary to grant this license.

6. Pricing and payment

The Service offers a free tier and paid features. Paid features are billed in advance through our payment processor, Stripe. By purchasing a paid feature, you authorize us to charge your payment method for the applicable fees. Subscriptions renew automatically until cancelled. You can cancel a subscription at any time via the Stripe Customer Portal accessible from your account settings; cancellation takes effect at the end of the current billing period.

Refunds.Because the one-time "remove watermark" purchase is consumed by executing a single draw, it is non-refundable once the associated draw is executed. Pro subscriptions are non-refundable for the current billing period. If you believe you were billed in error, email support@spinveri.com within 30 days.

7. Verifiability and disclaimers about Instagram data

The Service applies the entry rules you configure to the comments Instagram exposes via its Graph API. Spinveri cannot verify, for example, whether a commenter follows your account, because that information is not exposed by the Graph API. You are solely responsible for any manual verification step (such as follow checks) that your giveaway promises to participants.

The Service depends on third-party platforms (Meta's APIs) operating correctly. We do not guarantee that every comment posted to your Instagram post will appear via the API, and we are not liable for missing or incorrect data returned by Meta.

8. Intellectual property

Spinveri, including its software, design, branding, and content (other than Your Content), is owned by Lumen Limitless LLC and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Termination

You may stop using the Service at any time. Deleting your account via Settings or by emailing privacy@spinveri.com terminates these Terms with respect to you. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if continued provision would expose Spinveri to material risk.

10. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Spinveri does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defect will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, Spinveri and its members, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. In no event will Spinveri's aggregate liability exceed the greater of (a) the amount you paid Spinveri in the 12 months preceding the event giving rise to the claim and (b) US$100.

12. Indemnification

You agree to indemnify and hold harmless Lumen Limitless LLC and its affiliates from any claim, demand, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or applicable law, (b) Your Content, or (c) a giveaway you ran through the Service.

13. Governing law; venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

14. Changes

We may update these Terms from time to time. If we make material changes we will notify you by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
